3. Website Use

You agree not to:

  • Engage in illegal or unauthorized use of the website
  • Copy, distribute, or exploit website content without permission
  • Use any automated system to access or disrupt website operations
  • Upload viruses, harmful code, or malicious files

We reserve the right to suspend or terminate website access for violations.

4. Intellectual Property Rights

Project deliverables become the client’s property only after the project has been fully paid for.

5. Project Engagement & Deliverables

5.1 Quotes & Proposals

All proposals or quotes are valid for 14–30 days. Work begins once the client approves the quote and pays the required deposit.

5.2 Revisions

Revisions are limited per project and stated in the project agreement. Additional revisions may incur extra charges.

5.3 Client Responsibilities

Clients must provide all required content, brand materials, account access, and approvals promptly. Delays in client input may delay delivery timelines.

5.4 Unresponsiveness

If the client becomes inactive for 14 days or more, the project may be paused. After 30 days of no communication, the project may be closed without refund of deposits.

6. Payment Terms

  • A non-refundable deposit (typically 30–50%) is required before work begins.
  • Remaining balance is due upon project completion before final files or system access is delivered.
  • Payments must be made via methods approved by the Company.
  • Late payments may incur administrative fees.

7. Refund Policy

To maintain fairness and clarity, the following Refund Policy applies to all services:

7.1 Non-Refundable Deposit

All deposits paid to initiate a project are strictly non-refundable. Deposits cover project preparation, strategy, resource allocation, and initial work.

7.2 Refunds After Work Has Begun

Once work has started—including planning, research, creative drafting, development, or setup—no refunds of any kind will be issued.

7.3 Completed or Partially Completed Work

Refunds are not provided for completed or partially completed work. If the client chooses to cancel the project early, all completed work to date must still be paid in full.

7.4 Digital Marketing, Ads, and Reputation Services

Due to the nature of marketing and reputation work:

  • We do not guarantee specific results, rankings, leads, or sales.
  • No refunds are issued for marketing or reputation services once the campaign has been launched or initial setup has been completed.
  • Advertising budgets paid to third-party platforms (Google, Meta, TikTok, etc.) are non-refundable.

7.5 AI Automation Services

AI automation setup, workflow building, integrations, and API configuration are non-refundable after initiation due to specialised labour and third-party costs.

7.6 Third-Party Costs

Payments made to third-party platforms, plugins, hosting providers, software vendors, or ad networks are non-refundable and outside our control.

7.7 Change of Mind

Refunds are not available due to:

  • Client changing project direction
  • Client dissatisfaction with creative preference after approved concepts
  • Business shutdown, budget changes, or internal client issues

7.8 Refund Requests

Any refund request must be submitted in writing. The Company will review the request but is under no obligation to issue refunds unless legally required.

8. Third-Party Tools & Integrations

Our services may involve external platforms such as hosting providers, design apps, AI APIs, marketing software, plugins, or analytics tools.

We are not liable for:

  • Third-party service outages
  • Changes in their pricing or policies
  • Data loss or errors caused by third-party systems

Clients are responsible for maintaining their own third-party subscriptions when necessary.

9. AI Automation Disclaimer

AI systems may behave unpredictably and require human oversight. We cannot guarantee outcomes. The client is responsible for ensuring compliance with GDPR or other data-protection laws when using AI workflows.

10. Reputation Management Disclaimer

Reputation management results depend on external platforms (Google, Trustpilot, social media, etc.). We do not guarantee:

  • Removal of external content
  • Specific review ratings
  • Any outcome not fully under our control

Our role is advisory and strategic.

11. Digital Marketing Disclaimer

Marketing performance depends on market conditions, competition, audience engagement, and platform rules.
We do not guarantee increases in revenue, leads, followers, conversions, or ROI.

12. Limitation of Liability

To the maximum extent permitted by law, Sayeef Digital Agency is not liable for:

  • Loss of profits or business
  • Data breaches caused by external vendors
  • Third-party service downtime
  • Client misuse of deliverables

Our total liability shall not exceed the amount paid for the specific service.

13. Confidentiality

Both parties agree to keep confidential all non-public business information, strategies, credentials, and proprietary materials exchanged during the engagement.

14. Privacy Policy

Use of this website is also governed by our Privacy Policy, covering data collection, cookies, analytics, and compliance standards.

15. Termination

We may terminate a project or client relationship if:

  • Payments are overdue
  • The client engages in abusive or unethical behaviour
  • The client violates these Terms

Any completed or in-progress work remains payable.

We may update these Terms at any time. Continued use of the website constitutes acceptance of the revised Terms.

17. Governing Law

These Terms & Conditions shall be governed under the laws of the United Kingdom unless otherwise specified in a formal agreement.
